These Terms of Use (“Terms”) govern your access to and use of the Avanti3 platform, including the website located at avanti3.com, the application located at app.avanti3.com, and any related services, software, content, tools, features, and APIs (collectively, the “Service”).

By accessing or using the Service, creating an account, or clicking “I Agree,” you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. About Avanti3 and the Platform

Avanti3 (“Avanti3,” “we,” “us,” or “our”) operates a technology platform that enables creators, brands, and communities to:

Publish and distribute digital content (including music, video, and livestreams)
Offer memberships, subscriptions, and fan experiences
Sell digital goods, merchandise, and access rights
Engage with fans and community members
Optionally integrate blockchain-based or wallet-enabled functionality

Avanti3 is a neutral technology platform. Avanti3 does not create, produce, own, control, or endorse creator content and is not a party to transactions between creators and users.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

By using the Service, you represent and warrant that:

You have the legal capacity to enter into these Terms
Your use of the Service complies with all applicable laws and regulations
You are not prohibited from using the Service under any applicable sanctions or restrictions

3. Account Registration and Security

Certain features require registration.

You agree to:

Provide accurate, current, and complete information
Keep your account credentials confidential
Accept responsibility for all activity under your account

Avanti3 is not liable for losses arising from unauthorized access caused by your failure to secure your credentials.

4. User Content and Creator Content

4.1. Ownership

Users and creators retain ownership of all content they upload, post, stream, or otherwise make available through the Service (“User Content”).

4.2 License to Avanti3

By submitting User Content, you grant Avanti3 a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, distribute, stream, and promote such content solely for operating, maintaining, marketing, and improving the Service.

4.3 Content Visibility

Avanti3 does not guarantee distribution, reach, engagement, or monetization outcomes for any content.

5. Creator Compliance Representations and Warranties

If you use the Service as a creator, seller, or community operator, you represent, warrant, and agree that:

Legal Compliance
Your content, offerings, pricing, marketing, and interactions comply with all applicable laws, regulations, and industry standards, including consumer protection, advertising, intellectual property, tax, and privacy laws.
Intellectual Property Rights
You own or have secured all necessary rights, licenses, permissions, and consents for any content you publish, including music, video, images, likenesses, trademarks, and third-party materials.
Truthful Representations
All descriptions, claims, and representations made to users are accurate, not misleading, and not deceptive.
Fulfillment Responsibility
You are solely responsible for fulfilling subscriptions, digital goods, merchandise, access rights, and experiences offered through the Service.
No Prohibited Content
You will not upload or distribute content that violates Section 6 (Prohibited Conduct).
Taxes and Reporting
You are solely responsible for determining, collecting, reporting, and remitting any applicable taxes arising from your use of the Service.

No Platform Reliance
You acknowledge that Avanti3 does not provide legal, tax, financial, or business advice.

6. Prohibited Conduct

You agree not to, and will not permit others to:

Use the Service for unlawful, fraudulent, or deceptive purposes
Upload, publish, stream, distribute, or make available pornographic, sexually explicit, or adult-oriented content, including explicit sexual acts, pornography, fetish content, or sexually graphic nudity intended for sexual arousal
Upload content involving minors in any sexualized context (zero tolerance)
Engage in harassment, threats, hate speech, or abuse
Upload non-consensual, exploitative, or invasive content
Infringe intellectual property, privacy, publicity, or contractual rights
Impersonate others or misrepresent affiliation
Circumvent payment systems, subscriptions, or access controls
Attempt to hack, scrape, reverse-engineer, disrupt, or interfere with the Service
Introduce malware, exploits, or automated abuse mechanisms

Avanti3 may remove content or suspend or terminate accounts at its sole discretion, with or without notice.

7. Payments, Subscriptions, and Digital Goods

Prices and terms are determined by creators unless otherwise stated
Payments are processed by third-party payment providers
Digital goods and subscriptions are generally non-refundable
Avanti3 may collect platform or processing fees as disclosed

Avanti3 is not responsible for creator fulfillment or disputes.

8. Blockchain, Wallets, and Web3 Features

The Service may support optional blockchain-based functionality.

You acknowledge and agree that:

Blockchain transactions are irreversible
Avanti3 does not custody user assets unless explicitly stated
Avanti3 does not provide investment, legal, or tax advice
Token values may be volatile or speculative
You are solely responsible for wallet security and private keys

Avanti3 is not liable for smart-contract vulnerabilities, network failures, regulatory changes, or asset loss.

9. Intellectual Property

All Avanti3 software, code, branding, designs, trademarks, and proprietary materials are owned by Avanti3 or its licensors and protected by intellectual property laws.

You may not copy, modify, distribute, or exploit Avanti3 intellectual property without prior written consent.

10. Platform Role Disclaimer

Avanti3:

Is not a party to transactions between users and creators
Does not guarantee content quality, legality, or outcomes
Does not supervise or control creator conduct
Does not permit adult or sexually explicit content

Disputes between users and creators must be resolved directly.

11. Termination

Avanti3 may suspend or terminate access at any time for violation of these Terms or for any lawful reason.

Termination does not eliminate accrued obligations.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

AVANTI3 DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

AVANTI3 SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
AVANTI3’S TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID TO AVANTI3 IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

14. Indemnification

You agree to indemnify and hold harmless Avanti3 from claims, damages, losses, and expenses arising from:

Your use of the Service
Your content or offerings
Your violation of law or these Terms

15. Arbitration and Class Action Waiver

Any dispute arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association.

YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR JURY TRIALS.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

17. Changes to These Terms

Avanti3 may update these Terms at any time. Continued use constitutes acceptance of the revised Terms.

18. Privacy

Use of the Service is governed by the Avanti3 Privacy Policy, incorporated by reference.
